These Terms of Service (the “Terms”) are a binding agreement between you and Alysium Inc., a Delaware corporation (“Alysium,” “we,” “us,” or “our”). They govern your access to and use of Alysium's websites, applications, embedded chat experiences, AI agents, Creator tools, marketplace, and related products and services (collectively, the “Services”).
Please read these Terms carefully. When we present an acceptance control, you agree to these Terms only by selecting that control and submitting your acceptance. Where the Services are made available without an acceptance control, you agree by accessing or using them to the extent permitted by law. If you use the Services for a company or other organization, you represent that you have authority to bind it, and “you” includes that organization. If you do not agree, do not use the Services.
Our Privacy Policy explains how personal information is handled. It is a notice of our data practices and is not a request for consent except where we separately and expressly ask for consent.
Who may use the Services
1.1 Adults only
You must be at least 18 years old and legally able to enter into this agreement. The Services are not directed to children. You may not permit a person under 18 to use the Services through your account or knowingly configure, market, or deploy an Alysium agent for use by people under 18.
1.2 Excluded European markets
Alysium does not currently offer or permit the Services to:
- an individual located in the European Economic Area, United Kingdom, or Switzerland;
- an organization established in any of those places; or
- any person or organization whose access to or use of the Services would otherwise cause the related processing to be subject to the EU General Data Protection Regulation, the UK General Data Protection Regulation, or the Swiss Federal Act on Data Protection.
This restriction concerns location, establishment, and applicable law—not citizenship or nationality. If it applies to you, you are not eligible to register, access, purchase, publish, embed, or deploy through the Services, and you must stop using them.
This is a contractual eligibility restriction. It is not a representation that Alysium uses geoblocking or other technical measures to prevent access, and it does not waive, displace, or limit any law, right, or obligation that applies regardless of these Terms.
1.3 Other eligibility requirements
You may use the Services only where doing so is lawful. You may not use them if you are prohibited from receiving services under applicable sanctions, export-control, or trade laws. If you act for an organization, you represent that the organization is validly formed and that your use is authorized by it.
Accounts and access
You must provide accurate account information and keep it current. You are responsible for safeguarding your credentials, devices, API keys, and other access methods, and for activity under your account except to the extent caused by Alysium's breach of these Terms. Notify us promptly at support@alysium.ai if you suspect unauthorized access.
Some embedded agents may create or use a persistent anonymous account or session without asking for a name or email address. “Anonymous” in this context does not mean that no information is processed; technical identifiers, conversation content, and other information described in the Privacy Policy may still be associated with the session.
Accounts and workspaces may have owners, admins, and other members with different permissions. The owner or admins of the space that owns a particular agent may be able to access conversations, files, purchaser or subscriber information, usage details, and exports associated with that agent, as described in the Privacy Policy and the applicable interface. You are responsible for the people you authorize to use your account or workspace and for configuring their access appropriately.
The Services and AI features
Alysium provides a platform on which users and Creators can configure, publish, discover, purchase, and interact with AI agents. Features may change over time, and particular models, tools, integrations, or Agent Offerings may be added, changed, suspended, or discontinued.
3.1 Inputs and Outputs
“Input” means content you submit to an AI feature, and “Output” means content generated in response. You are responsible for your Input and for deciding whether and how to use any Output.
As between you and Alysium, and to the extent permitted by applicable law, you retain your rights in Input and may use Output for lawful purposes. To the extent Alysium owns any rights in Output generated specifically for you, Alysium assigns those rights to you. This does not transfer rights owned by a Creator, another user, a model provider, or any other third party.
AI Output can be inaccurate, incomplete, offensive, outdated, or unsuitable, and the same or similar Output may be generated for other users. Alysium does not guarantee that Output is unique, factually correct, non-infringing, or eligible for copyright or other protection. You must evaluate Output for your use case and obtain professional review when appropriate.
3.2 High-impact and professional decisions
The Services do not provide medical, legal, financial, accounting, or other professional advice. You may not use the Services as the sole basis for a decision that determines a person's eligibility, selection, access, or terms in health care, credit, lending, insurance, employment, housing, education, legal services, or another area that creates a similarly significant effect. You are responsible for meaningful human review and for complying with laws governing your use.
3.3 Model and service providers
To provide AI features, Alysium may send Input, relevant conversation history, agent instructions, retrieved excerpts, files, and related technical data to model, hosting, and infrastructure providers. Provider practices concerning caching, retention, abuse review, human review, and model improvement may vary by provider, contract, feature, and configuration. The Privacy Policy describes these practices and Alysium's currently identified providers in more detail.
Your Content
“Content” means prompts, messages, files, instructions, agent configurations, listings, reviews, profile material, support information, and other material submitted to or through the Services. You retain ownership of Content you own. These Terms grant Alysium only the licenses described below.
4.1 Private Content license
“Private Content” is Content that you do not intentionally make public, such as private conversations, private uploads, unpublished agent configurations, and private workspace material.
You grant Alysium a nonexclusive, worldwide, royalty-free license to host, reproduce, transmit, format, technically modify, and otherwise process Private Content only as reasonably necessary to:
- provide the features you request and maintain conversation or workspace continuity;
- route requests to applicable AI, hosting, storage, security, and other service providers;
- make Content available to people and workspaces you authorize, including the owner and admins of the space that owns the relevant agent;
- provide support, troubleshoot, debug, evaluate, personalize, secure, and improve the Services;
- prevent fraud, abuse, and violations of these Terms; and
- comply with law and enforce our rights.
This license permits Alysium to use identifiable Private Content for those limited operational, safety, support, debugging, evaluation, personalization, and service-improvement purposes. It also permits Alysium to use information that has been de-identified or aggregated so it is not reasonably linkable to a person or account for broader analytics, research, and development.
Merely submitting identifiable Private Content does not grant Alysium a license to sell it, display it publicly, use it for unrelated advertising, or train a general-purpose AI model on it. Provider handling is governed by the applicable provider terms, settings, and contracts and is described in the Privacy Policy; these Terms do not promise that every provider follows identical retention, review, or model-improvement practices.
The Private Content license lasts for as long as reasonably necessary for these purposes, including applicable retention periods, backup cycles, dispute preservation, fraud prevention, and legal obligations. Deleting Content or closing an account does not require immediate deletion from every backup, legal record, Creator-controlled copy, or independent provider system.
4.2 Public Content license
“Public Content” is Content you intentionally publish or submit to a public feature, including public Creator profiles, published agents, marketplace listings, reviews, replies, public support details, images, and samples.
You grant Alysium a nonexclusive, worldwide, royalty-free license to host, reproduce, format, adapt for display, translate, distribute, publicly display, publicly perform, and create technical or promotional materials from Public Content in order to operate, improve, market, and promote the Services, Alysium's marketplace, and the relevant public profile, listing, or Agent Offering. Alysium may sublicense these rights only to service providers acting on Alysium's behalf and only as reasonably necessary for those purposes. This includes first-party editorial placement and clearly labeled promotion through Alysium-owned or Alysium-operated services and channels.
This license continues while the Public Content is published. After removal takes effect in the Services, Alysium will not initiate a new promotional use of that Public Content, but may complete the reasonable technical withdrawal of material already scheduled or distributed. The license also continues only as needed for legal records, security, backups, and materials already distributed before removal. Alysium cannot control copies, caches, or indexing created by other people or independent services.
4.3 Your responsibilities for Content
You represent that you have all rights, permissions, and lawful bases needed to submit Content and grant these licenses. Your Content and use of the Services must not violate another person's privacy, publicity, confidentiality, contractual, intellectual-property, or other rights.
Do not submit passwords, authentication secrets, government identifiers, payment-card numbers, precise financial-account details, health records, biometric data, information about children, or other sensitive or regulated information unless an Alysium feature expressly supports that information and you have authority and a lawful basis to provide it. The Services do not technically prevent every submission of sensitive information.
Creator terms
A “Creator” is a person or organization that configures, publishes, licenses, sells, or supports an agent, listing, subscription, or related offering through the Services (an “Agent Offering”). These additional terms apply to every Creator.
5.1 Creator is the seller and provider
For a marketplace Agent Offering, the Creator—not Alysium—is the seller and provider to the buyer unless the checkout expressly states otherwise. Alysium operates the platform and facilitates payment collection and payouts through Stripe. Alysium is not the Creator's employer, partner, joint venturer, agent, or fiduciary, and no Creator may make a contrary representation.
The Creator is responsible for the Agent Offering, including its description, pricing, claims, configuration, instructions, source materials, lawful operation, buyer support, required disclosures, and compliance with applicable law. Alysium may administer checkout, subscriptions, refunds, credits, disputes, or support interactions, but doing so does not transfer the Creator's underlying obligations to Alysium.
5.2 Creator warranties and ongoing duties
Each Creator represents and agrees that:
- it has the rights needed to publish, sell, license, and operate its Agent Offering and all associated Content;
- listings and marketing claims are accurate, current, and not misleading;
- the Agent Offering does not infringe or misappropriate third-party rights;
- it will provide reasonable buyer support and honor any additional commitments it makes;
- it will maintain any licenses, notices, consents, registrations, and permissions required for its activities;
- it will not offer an Agent Offering to people under 18 or to a location, organization, or use prohibited by Section 1.2;
- it will not market an Agent Offering as a substitute for qualified professional advice or use it for prohibited high-impact decisions;
- it will maintain a current privacy notice wherever it independently determines how personal information from an agent, buyer, subscriber, or embedded experience is used; and
- it will comply with Alysium's policies, reasonable security instructions, and lawful takedown or remediation requests.
The authorized owner or admins of the space that owns the particular agent may receive full conversations, uploads, usage information, and export data where the relevant feature supports that access. Separately, a Creator may receive buyer or subscriber email addresses, subscription and purchase details, usage information, and other transaction-administration data made available for that Creator's Agent Offering. The original marketplace Creator does not receive conversations or uploads from a buyer-owned copy merely because the Creator published the original agent; the Creator must also be authorized for the space that owns the particular copy or receive the information through another disclosed feature. A Creator may use information received through Alysium only to support users, operate and improve the applicable agent, administer the transaction, meet legal obligations, and for other purposes disclosed at collection. A Creator may not sell it, use it for unrelated marketing, or combine it for unrelated profiling without the person's separate permission and any other legally required authorization.
5.3 Embedding and third-party sites
If a Creator or site operator embeds an agent, that party is responsible for its own website, notice, consent controls, data collection, claims, and legal compliance. It must display any Creator notice required by law without obscuring Alysium's legal notices. It may not imply that Alysium endorses the site or the Creator's independent practices.
5.4 Moderation and infringement
Alysium may review, restrict, remove, or disable an Agent Offering or Content that we reasonably believe violates these Terms, creates risk, is the subject of a credible rights complaint, or may expose Alysium or users to liability. Creators must cooperate with investigations and promptly correct substantiated issues. To report alleged infringement, send enough information for us to identify the work, the disputed material, your authority, and a means of contacting you to support@alysium.ai.
Marketplace purchases and buyer license
A “Buyer” is a person or organization that purchases, subscribes to, installs, or otherwise acquires access to an Agent Offering.
Unless a listing expressly states different terms, the Creator grants the Buyer a limited, nonexclusive, nontransferable, nonsublicensable license to access and use a hosted copy of the purchased Agent Offering within the Buyer's authorized Alysium account or workspace, solely for the Buyer's lawful internal or personal use and only while the applicable subscription, license period, or access entitlement remains active.
The purchased copy is version-pinned: it consists of the version made available to the Buyer at the time of acquisition or installation. The purchase does not automatically include later Creator versions, updates, new features, source materials, hidden instructions, model weights, tools, branding, or intellectual property unless the listing expressly includes them. Operational or security changes made by Alysium do not constitute a new Creator version.
The Creator retains ownership of the Agent Offering and its underlying intellectual property. A purchase does not permit a Buyer to extract, copy, republish, resell, rent, distribute, reverse engineer, or create a competing offering from protected Creator material except to the extent applicable law expressly permits and does not allow contractual restriction.
Agent Offerings are provided by independent Creators. Alysium may review listings or enforce marketplace rules, but does not guarantee a Creator's expertise, identity, claims, quality, fitness, availability, or results. Buyers should review the listing, Creator information, and applicable notices before purchasing or providing Content.
Prices, subscriptions, and payment
Prices, billing intervals, included usage, platform or Creator fees, taxes, and other purchase terms are shown at checkout or in the applicable listing, order, or account interface. You authorize Stripe and the applicable seller to charge the payment method you provide for the displayed amounts, including recurring charges and usage-based amounts you approve.
Subscriptions renew automatically for successive billing periods unless you cancel before the renewal date. Cancellation takes effect at the end of the current paid period, and access may continue until then. Except where required by law or expressly granted by Alysium or the Creator, payments are final and there are no refunds or prorated credits for partial periods, unused features, dissatisfaction with Output, account suspension, or early cancellation.
You are responsible for applicable taxes, duties, and government charges other than taxes based on Alysium's net income. Prices may change prospectively. We will provide notice of a subscription-price change in the manner and within the time required by applicable law before it applies to a renewal.
Payments and Creator onboarding are handled through Stripe and Stripe Connect. Stripe may collect payment, identity, business, tax, bank-account, and fraud-prevention information under its own terms and privacy notice. Alysium does not receive complete payment-card or bank-account credentials merely because Stripe processes a transaction.
If a payment fails, is reversed, or is disputed, Alysium or the Creator may suspend access, retry the charge where permitted, recover amounts due, or take other lawful action. You must not use a chargeback to avoid a legitimate contractual obligation.
Creator fees, payouts, refunds, and taxes
Creator platform fees, payment-processing charges, payout timing, reserves, minimums, and other commercial terms are shown during onboarding or in the Creator interface and may be updated prospectively. By using Creator monetization features, you authorize Stripe and Alysium to collect applicable charges, deduct fees and adjustments, and route the remaining amount to the connected account.
Payout availability depends on Stripe verification, transaction status, refund and dispute windows, legal requirements, and risk review. To the extent permitted by law, Alysium may delay, withhold, offset, reverse, or recover a payout reasonably related to a refund, chargeback, fraud concern, policy violation, negative balance, legal requirement, or amount owed to Alysium. Alysium is not responsible for delay caused by incomplete Creator information, Stripe, a bank, or a governmental authority.
Creators are responsible for setting lawful prices; providing required invoices, receipts, disclosures, and customer support; determining and paying taxes arising from their sales, earnings, and business; and supplying accurate tax and identity information. Alysium may collect, withhold, report, or remit taxes where we reasonably determine the law requires it. Creator tax information may be shared with Stripe and governmental authorities as needed.
Where Alysium or a Creator approves a refund, associated Creator proceeds and platform or processing adjustments may be deducted from current or future payouts to the extent permitted by law.
Acceptable use
You may not use the Services, directly or indirectly, to:
- violate law, regulation, sanctions, or another person's rights;
- create, upload, request, distribute, or facilitate unlawful, fraudulent, deceptive, defamatory, infringing, exploitative, or malicious content or conduct;
- exploit or endanger a child, facilitate human trafficking, or create sexual content involving a minor;
- obtain or disclose credentials, payment data, government identifiers, private communications, or other sensitive information without authorization;
- distribute malware, interfere with systems, bypass security or access controls, probe for vulnerabilities without written authorization, or disrupt another user's experience;
- impersonate another person, misrepresent affiliation or expertise, manipulate reviews or marketplace activity, or conceal the origin of Content in a deceptive way;
- scrape, harvest, sell, or use personal information for unrelated advertising, profiling, surveillance, or spam without the required permission;
- use Output or agent behavior as the sole basis for a prohibited high-impact decision described in Section 3.2;
- reverse engineer, extract, copy, resell, or exploit protected platform, Creator, or model-provider materials except as expressly allowed by these Terms or non-waivable law;
- avoid fees, quotas, usage limits, or enforcement mechanisms; or
- help another person do any of the above.
Alysium may establish additional reasonable use limits to protect users, Creators, providers, and the Services.
Alysium intellectual property
Except for Content owned by users and Creators, Alysium and its licensors own the Services, including software, interfaces, designs, trademarks, documentation, and platform technology. Subject to these Terms, Alysium grants you a limited, revocable, nonexclusive, nontransferable, nonsublicensable right to access and use the Services for their intended purpose during the term of your account or applicable entitlement.
No rights are granted by implication. You may not use Alysium's names, logos, or branding in a way that suggests sponsorship or endorsement without written permission. All rights not expressly granted are reserved.
If you provide feedback or suggestions, you grant Alysium a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation, provided that this feedback license does not independently authorize use of your Private Content.
Third-party services and content
The Services may use, link to, retrieve from, or interoperate with third-party models, websites, software, payment services, and Content. Third-party services are governed by their own terms and privacy notices, and Alysium is not responsible for services it does not control. Your direction to connect, crawl, upload from, or send information to a third party authorizes Alysium to perform that requested interaction, but you remain responsible for having the necessary rights and authority.
Privacy and electronic communications
Our Privacy Policy describes how Alysium collects, uses, discloses, and retains personal information. A Creator, workspace, or third-party site may provide an additional privacy notice for its independent practices.
Product analytics and Session Replay. When you create an account, the acceptance control asks you to agree to these Terms and the Privacy Policy, including in-app product analytics and masked Session Replay as described in the Privacy Policy. Submitting that acceptance is your express agreement to Session Replay for your account. You can turn either off at any time under Settings, then Privacy, without affecting your use of the Services.
You agree that Alysium may send account, security, transaction, billing, support, and other service communications electronically, including by email and in-product notice. We may send marketing email when permitted by law and your choices. You can unsubscribe from marketing email using the link in the message, but you may continue to receive non-marketing service communications.
Suspension and termination
You may stop using the Services at any time and may cancel subscriptions as described in Section 7. Account-deletion requests and their effect on retained information are described in the Privacy Policy. Available interfaces may let you remove particular Content or features, but they do not replace the privacy-request process described in that Policy.
Alysium may limit, suspend, or terminate access, remove Content, withhold an Agent Offering, or take protective action if we reasonably believe that:
- you materially or repeatedly violate these Terms;
- payment is overdue, reversed, or disputed;
- your use creates a security, legal, fraud, safety, or reputational risk;
- action is required by law, a court, a regulator, a provider, or a rights holder;
- continuing the relevant feature is no longer commercially or technically feasible; or
- immediate action is reasonably necessary to protect a person or the Services.
Where appropriate, we will provide notice and a reasonable opportunity to cure or appeal. We may act without advance notice where urgency, law, security, fraud, or safety reasonably requires it.
When these Terms end, your right to use the Services ends except for any access expressly allowed by Alysium. Provisions that by their nature should survive will survive, including accrued payment obligations, ownership, licenses needed for retained records, disclaimers, indemnification, liability limits, dispute terms, and general terms.
Changes to the Services or these Terms
Alysium may modify the Services and may update these Terms as our products, business, risks, or legal obligations change. We will post revised Terms with a new “Last updated” date. If a change is material, we will provide additional notice by email, in-product notice, or another appropriate channel when required by law. We will request fresh agreement where the nature of the change or applicable law requires it.
Changes apply prospectively from their stated effective date. A posted change does not retroactively authorize a materially incompatible use of previously collected personal information. If you do not agree to revised Terms, you must stop using the Services and cancel any affected subscription before the revision takes effect.
Disclaimers and no service-level agreement
The Services, Agent Offerings, and Output are provided “as is” and “as available.” To the fullest extent permitted by law, Alysium disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, and any warranty arising from course of dealing or usage of trade.
Alysium does not promise that the Services, an Agent Offering, or Output will be uninterrupted, secure, error-free, complete, accurate, or available at a particular time or location. Alysium does not guarantee that Content will never be lost or that every defect will be corrected. You are responsible for maintaining appropriate copies of important Content and for evaluating whether the Services are suitable for your needs.
These Terms do not include a service-level agreement, uptime commitment, service credit, support-response guarantee, or disaster-recovery commitment. Any such commitment must be contained in a separate written agreement signed by an authorized Alysium representative.
Some jurisdictions do not allow certain disclaimers. In those jurisdictions, the disclaimers apply only to the extent allowed by law.
Indemnification
If you use the Services as a Creator or on behalf of a business or organization, you will defend, indemnify, and hold harmless Alysium and its affiliates, officers, directors, employees, and agents from third-party claims, damages, losses, liabilities, judgments, penalties, costs, and reasonable legal fees arising from or related to:
- your Content, Agent Offering, listing, marketing claim, or independent privacy practice;
- your breach of these Terms or violation of law or another person's rights;
- your transaction, tax, support, refund, warranty, or other obligation to a buyer; or
- access to or use of the Services by a person you authorize.
Alysium will provide reasonably prompt notice and allow you to control the defense and settlement, provided that you may not settle in a way that admits fault by or imposes an obligation on Alysium without our written consent. Alysium may participate with counsel at its own expense. This section applies only to the extent permitted by applicable law.
Limitation of liability
To the fullest extent permitted by law, neither Alysium nor its affiliates, licensors, providers, officers, directors, employees, or agents will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, data, business opportunities, or anticipated savings, arising out of or related to the Services or these Terms, even if advised that the damage was possible.
To the fullest extent permitted by law, the total aggregate liability of Alysium and those related parties for all claims arising out of or related to the Services or these Terms will not exceed the greater of:
- the fees you paid to Alysium for the Services during the 12 months immediately before the event giving rise to the claim; or
- US $100.
These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose. They do not limit liability to the extent a limitation is prohibited by law, including liability that cannot lawfully be limited for fraud, willful misconduct, or death or personal injury caused by negligence.
Dispute resolution and arbitration
Please read this section carefully. It requires most disputes to be resolved through individual binding arbitration and limits how relief may be sought.
18.1 Informal resolution
Before starting arbitration, either party must send the other a written notice describing the dispute and requested relief and allow 30 days for a good-faith effort to resolve it. Send notices to Alysium at support@alysium.ai and the mailing address in Section 21. Alysium may send a notice to the email or address associated with your account. A limitations period is tolled during this 30-day process to the extent permitted by law.
18.2 Individual binding arbitration
Except for the exceptions below, any dispute, claim, or controversy arising out of or relating to the Services, these Terms, or the relationship between you and Alysium will be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under the Federal Arbitration Act (“FAA”). The AAA Consumer Arbitration Rules will apply to an individual using the Services for personal or household purposes; the AAA Commercial Arbitration Rules will apply otherwise. The arbitrator may award the same individual remedies that a court could award and has exclusive authority to resolve disputes about the interpretation, applicability, or enforceability of this arbitration agreement, except that a court will decide disputes concerning the class-action waiver.
The arbitration will be conducted in English. It may occur by telephone, video conference, written submissions, or an in-person hearing reasonably convenient to the parties, as the applicable AAA rules permit. Fees will be allocated under those rules, and Alysium will pay amounts the law requires it to pay.
18.3 Exceptions
Either party may bring an individual claim in a court of competent small-claims jurisdiction if the claim qualifies and remains individual. Either party may seek temporary or preliminary injunctive relief in court where necessary to prevent actual or threatened infringement, misappropriation, unauthorized access, or another harm for which immediate equitable relief is appropriate, without waiving arbitration of the remaining dispute. Alysium may also pursue collection of undisputed amounts in court where permitted.
18.4 Class and jury-trial waiver
You and Alysium agree that each may bring claims only in an individual capacity and not as a plaintiff, class member, private attorney general, or representative in a class, collective, consolidated, mass, or representative proceeding. Unless both parties agree, an arbitrator may not combine claims or preside over a representative proceeding. To the extent a dispute proceeds in court rather than arbitration, you and Alysium waive trial by jury to the fullest extent permitted by law.
18.5 Thirty-day right to opt out
You may opt out of Sections 18.2 through 18.4 by emailing support@alysium.ai within 30 days after you first accept these Terms. Your notice must include your full name; the email or account identifier associated with your Alysium account, if you have one; and an unambiguous statement that you opt out of the arbitration agreement in the Alysium Terms of Service. If you used an embedded agent without a named account, also include the agent URL or identifier, approximate date of use, and other non-secret details reasonably sufficient to identify the interaction. Opting out will not affect the rest of these Terms, and Alysium will not penalize you for doing so.
18.6 Severability of arbitration terms
If any part of this Section 18 is unenforceable, it will be severed to the minimum extent necessary and the remainder will remain effective, except that if the class-action waiver is finally held unenforceable as to a particular claim or remedy, that claim or remedy will proceed in court after any arbitrable issues are resolved.
Governing law and courts
The FAA governs Section 18. Subject to the FAA and any non-waivable law, these Terms and any dispute are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. A dispute that is not subject to arbitration or small claims must be brought exclusively in the state or federal courts located in Delaware, and each party consents to their personal jurisdiction and venue.
Nothing in these Terms limits a protection or remedy that applicable law makes non-waivable.
General terms
These Terms, the Privacy Policy, any checkout terms, and any other terms expressly incorporated into them form the entire agreement concerning the Services. If an order or checkout term conflicts with these Terms, the more specific term controls for that transaction; a separate agreement signed by an authorized Alysium representative controls to the extent it expressly states that it overrides these Terms.
You may not assign these Terms without Alysium's written consent. Alysium may assign them in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, or by operation of law. No assignment relieves accrued obligations.
Alysium is not liable for delay or failure caused by circumstances beyond its reasonable control, including internet or utility failures, provider outages, disasters, labor disputes, governmental actions, war, terrorism, civil unrest, epidemics, or attacks on infrastructure.
If a provision is unenforceable, it will be modified to the minimum extent needed to make it enforceable or, if that is not possible, severed; the rest remains in effect. Alysium's failure to enforce a provision is not a waiver. Headings are for convenience only. “Including” means “including without limitation.” These Terms do not create third-party beneficiary rights.
